TERMS AND CONDITIONS OF USE & AFFILIATE PROGRAM AGREEMENT

INTRODUCTION 

Welcome to URANEMEDIA.COM ("URANE MEDIA LLC," "Company," "we," "our," or "us"). 

URANEMEDIA.COM is operated by URANE MEDIA LLC. 

The URANE MEDIA LLC Affiliate Program is administered and operated exclusively by URANE STORE, a division of URANE MEDIA LLC. 

For purposes of this Agreement, references to URANE STORE apply only to the administration, operation, and management of the Affiliate Program, while URANE MEDIA LLC remains the operator of URANEMEDIA.COM and the Services. 

These Terms and Conditions of Use & Affiliate Program Agreement ("Agreement") govern your access to and use of URANEMEDIA.COM, including our website, articles, podcasts, videos, newsletters, memberships, courses, digital products, affiliate program, merchandise, social media channels, events, and related services (collectively, the "Services"). 

This Agreement combines website terms of use, purchase terms, educational and investment disclaimers, and the URANE MEDIA LLC Affiliate Program Agreement. It applies to visitors, account holders, purchasers, subscribers, members, and approved affiliates who access or use URANEMEDIA.COM or related Services. 

By accessing, browsing, registering for an account, purchasing products or services, participating in our Affiliate Program, or otherwise using the Services, you agree to be bound by these Terms and Conditions. 

If you do not agree to these Terms, you must discontinue use of the Services immediately. 

1. ELIGIBILITY 

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to use the Services. 

By using the Services, you represent and warrant that:

2. ACCOUNT REGISTRATION

• Educational Content 
• Downloads 
• Website Design 
• Software 
• Branding 

are the property of URANE MEDIA LLC, its affiliates, licensors, or content providers and are protected by applicable intellectual property laws. 

Nothing in these Terms transfers ownership of any intellectual property rights to you. 

5. LIMITED LICENSE 

Subject to your compliance with these Terms, URANE MEDIA LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal and lawful business purposes. 

You may not:

• Distribute 
• Republish 
• Sell 
• License

from any part of the Services without prior written permission. 

6. USER CONTENT

By submitting User Content, you grant URANE MEDIA LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

such User Content for business, operational, educational, promotional, and marketing purposes. 

You represent and warrant that: 

• You own or control the rights to the content. 
• The content is accurate. 
• The content does not violate any law. 
• The content does not infringe any third-party rights. 

7. PRODUCTS, SERVICES, AND PURCHASES 

The Services may include: 

• Digital products 
• Courses 
• Memberships 
• Coaching programs 
• Events

• Subscription services

Pricing 

All prices are displayed in U.S. Dollars unless otherwise stated. 

Prices may change at any time without prior notice. 

Payments

Taxes

You acknowledge and agree that:

• Affiliate earnings 
• Investment returns 
• Sales performance 
• Business success 

Any earnings examples, testimonials, case studies, or success stories are illustrative only and do not guarantee similar results. 

Individual results will vary. 

12. AFFILIATE PROGRAM 

The URANE MEDIA LLC Affiliate Program is administered and operated exclusively by URANE STORE, a division of URANE MEDIA LLC. 

Participation in the Affiliate Program is voluntary and subject to approval. 

12.1 Affiliate Enrollment 

URANE STORE reserves the right to approve, reject, suspend, or terminate any affiliate application or account at its sole discretion. 

12.2 Affiliate Links 

Approved affiliates will receive unique referral links. 

Commissions are earned only through qualifying purchases successfully tracked through approved affiliate links. 

Neither URANE MEDIA LLC nor URANE STORE shall be responsible for lost commissions resulting from: 

• Browser restrictions 
• Tracking failures 
• Technical issues 
• Ad-blocking software 
• Incorrect link usage 

12.3 Affiliate Commissions 

Commission rates are established solely by URANE STORE. 

Qualifying sales must: 

• Be completed through an approved affiliate link. 
• Be fully paid. 
• Not be refunded. 
• Not be disputed or charged back. 
• Comply with program requirements. 

URANE STORE reserves the right to modify commission structures, payment schedules, and qualification requirements at any time. 

12.4 Affiliate Payments 

Affiliate commissions will be paid in accordance with the payment schedule established by URANE STORE. 

Payments may be issued through: 

• PayPal 
• Direct Deposit 
• ACH Transfers 
• Other approved methods 

Affiliates are solely responsible for all tax obligations associated with commission earnings. 

12.5 FTC Compliance 

Affiliates must comply with applicable advertising laws and Federal Trade Commission (FTC) disclosure requirements. 

Affiliate disclosures must be clear, conspicuous, and placed close to the affiliate link or promotional claim so that users can see the disclosure before clicking or making a purchase decision. 

Example: 

"I may earn a commission if you purchase through my affiliate link at no additional cost to you." 

12.6 Prohibited Affiliate Activities 

Affiliates may not: 

• Send spam. 
• Engage in deceptive advertising. 
• Guarantee earnings or investment returns. 
• Register trademark-related domain names. 
• Use unauthorized discount codes. 
• Purchase branded keywords without written authorization. 
• Generate fake traffic or leads. 
• Engage in cookie stuffing. 

12.7 Fraud Prevention 

URANE STORE maintains a zero-tolerance policy regarding affiliate fraud. 

Fraud includes: 

• Self-referrals 
• Fake purchases 
• Artificial traffic 
• Commission manipulation 
• Stolen payment methods 
• Automated transactions 

Violators may be subject to: 

• Immediate termination 
• Forfeiture of commissions 
• Permanent removal from the Affiliate Program 
• Legal action 

12.8 Affiliate Termination 

Either party may terminate participation at any time. 

Upon termination: 

• Affiliate links will be deactivated. 
• Marketing rights immediately cease. 
• Program materials must no longer be used. 
• Commissions may be forfeited in cases of fraud or violations. 

13. THIRD-PARTY LINKS AND SERVICES 

The Services may contain links to third-party websites, products, software, or services. 

URANE MEDIA LLC is not responsible for: 

• Third-party content 
• Privacy practices 
• Availability 
• Product quality 
• Business conduct 

Use of third-party services is at your own risk. 

14. COMMUNICATIONS 

By providing your contact information, you consent to receive: 

• Service announcements 
• Transactional communications 
• Account notifications 
• Marketing communications 
• Promotional offers 
• Newsletters 

You may opt out of promotional communications at any time. 

15. SUSPENSION AND TERMINATION 

URANE MEDIA LLC reserves the right to suspend, limit, or terminate access to the Services at any time, with or without notice, for violations of these Terms or other conduct deemed harmful to the Company, Services, or users. 

16. DISCLAIMER OF WARRANTIES 

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. 

TO THE FULLEST EXTENT PERMITTED BY LAW, URANE MEDIA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF: 

• MERCHANTABILITY 
• FITNESS FOR A PARTICULAR PURPOSE 
• NON-INFRINGEMENT 
• ACCURACY 
• SECURITY 
• RELIABILITY 

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. 

17. LIMITATION OF LIABILITY 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URANE MEDIA LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. 

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE GREATER OF: 

• USD $100; OR 
• THE TOTAL AMOUNT PAID BY YOU TO URANE MEDIA LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. 

18. INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless URANE MEDIA LLC, its members, managers, officers, directors, employees, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from: 

• Your use of the Services; 
• Your Affiliate Program activities; 
• Your User Content; 
• Your violation of these Terms; 
• Your violation of any law or third-party rights. 

19. GOVERNING LAW AND VENUE 

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. 

Any dispute arising from these Terms or the Services shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. 

You consent to the jurisdiction and venue of those courts. 

20. CHANGES TO THESE TERMS 

URANE MEDIA LLC reserves the right to modify these Terms at any time. 

Updated versions will be posted on URANEMEDIA.COM and become effective upon posting unless otherwise stated. 

Your continued use of the Services constitutes acceptance of any revised Terms. 

21. SEVERABILITY 

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

22. ENTIRE AGREEMENT 

These Terms, together with our Privacy Policy and any additional legal notices or policies published on URANEMEDIA.COM, constitute the entire agreement between you and URANE MEDIA LLC concerning your use of the Services.

BY ACCESSING OR USING URANEMEDIA.COM, CREATING AN ACCOUNT, PURCHASING PRODUCTS OR SERVICES, OR PARTICIPATING IN THE URANE MEDIA LLC AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.
